If you do not agree to these terms, you will not be able to use or receive SecondLook Health's services. You hereby grant agency authority to any party who clicks on the “I Accept” button on your behalf.

Introduction

SecondLook Health, Inc. and its affiliates and contractors (collectively, with their subsidiaries, affiliates, wholly owned brands, successors, and assigns, “SecondLook Health,” “we,” “us,” or “our”) own and operate the website located at www.SecondLookHealth.ai (the “Website,” and collectively with any affiliated mobile application (“App”), the “Sites”). The Sites and the services and content available from SecondLook Health on and through the Sites are referred to herein as the "Services."

The Services may include:

• Development and gathering of healthcare records and information for business use.
• Providing businesses with tools to analyze medical records that facilitate access to and analysis of clinical data for clinical, legal and insurance stakeholders.
• Administrative support in connection with scheduling and payment for services.

These Terms of Use describe your rights and responsibilities regarding the Sites that you may use to receive Services. Your access to and use of the Sites is subject to these Terms of Use, our Privacy Policy (https://www.secondlookhealth.ai/privacy-policy), as well as all applicable laws and regulations. In these Terms of Use, the terms “you” and “your” refer to the business entity using the Services. Even though you may have arrived at the Sites through a website or mobile application operated or controlled by a third party, including by an affiliate of SecondLook Health, you understand and agree that these Terms of Use are entered into between you and SecondLook Health. If you do not accept and agree to be bound by these Terms of Use, you are not authorized to access or otherwise use the Sites or Services.

The Sites and Services are continually under development, and SecondLook Health reserves the right to review or remove any part of these Terms of Use in its sole discretion at any time and without prior notice to you.

You should check the Terms of Use from time to time when you use the Sites or Services to determine if any changes have been made. Any changes to these Terms of Use are effective upon posting to the Sites. Unless otherwise indicated, any new or additional Services are also subject to these Terms of Use upon posting to the Sites. The Services provided may vary based on the specific needs of your business and are subject to applicable laws and regulations. The Services are designed to assist clinical stakeholders in analyzing clinical data more efficiently.

Eligibility

To qualify to use the Services, the following must be true:

• You are a business entity operating within the United States.
• You agree to be legally bound by and comply with these Terms of Use.
• You understand and agree that satisfying the above requirements does not guarantee that you will receive Services through SecondLook Health. SecondLook Health reserves the right to change or include new requirements as deemed appropriate in its sole discretion without prior notice to you.

Requirements for Use

You must have compatible computing and/or mobile devices, access to the Internet, and necessary software to use the Sites. Fees and charges may apply to your use of mobile services and the Internet.

Privacy Policy

SecondLook Health understands the importance of confidentiality and privacy regarding your business and any client health information. Please see our Privacy Policy available on the Site (https://www.secondlookhealth.ai/privacy-policy) for a description of how we may collect and use your information. The Privacy Policy is hereby incorporated into these Terms of Use by reference and constitutes a part of these Terms of Use.

Your Relationship with SecondLook Health

• You understand that the Services are provided by SecondLook Health, Inc., a provider of software-as-a-service (SaaS) solutions.
• You understand that the Services are intended to assist in analyzing medical records and clinical data.
• You acknowledge that SecondLook Health is not a healthcare provider and does not offer medical advice or services.
• You acknowledge that SecondLook Health is not a legal entity and does not offer legal advice or services.
• You agree that the Services are not a substitute for professional legal or medical advice and that you are responsible for complying with all applicable laws and regulations regarding the handling of medical records and health information, including HIPAA.

Authorization to Access Medical Records

By agreeing to these Terms of Use, you:

• Represent and warrant that you have the necessary permissions and authorizations to access and use any medical records and health information through the Services.
• Agree to comply with all applicable laws and regulations, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA), regarding the confidentiality and security of medical records and health information.
• Release and discharge SecondLook Health from any liability, claims, and demands arising out of or related to your access and use of medical records through the Services.

Consent to Communications

By entering into this Agreement, you agree to receive communications from SecondLook Health, including via email, voice call, and push notifications (“Communications”).

Communications may include but are not limited to:

• Operational communications concerning your account or use of SecondLook Health’s Services and platform.
• Informational communications concerning billing, updates, and reminders.
• Marketing content such as updates concerning new and existing Services.
• Communications concerning promotions run by us or our third-party partners.

Standard messaging and data rates may apply.
Opt-Out: If you wish to opt out of promotional emails, you can unsubscribe by following the unsubscribe options in the promotional email itself.

Saas Services

SecondLook Health provides a software-as-a-service platform that enables businesses to analyze medical records and clinical data. The Services include:

• Electronic transmission and storage of medical records and health information.
• Data analysis tools and features to assist in analytic processes.
• Secure communication channels for collaboration among authorized users.

Data Security: The electronic systems used in the Services incorporate network and software security protocols to protect the privacy and security of health information and data, including measures to safeguard data integrity.

Disclaimer: You acknowledge that SecondLook Health does not provide legal or medical advice. The analysis and tools provided are for informational purposes and should not replace professional judgment.

Limited License and Site Access; All Rights Reserved

The Services contain text, graphics, logos, button items, images, works of authorship, and other content (collectively, “Content”). We grant you a limited license to access and make use of the Content and Services for your internal business purposes, but not to download (other than page caching) or modify them, or any portion of them, except with our express written consent.

• Any resale or commercial use of the Services or the Content.
• Any derivative use of the Services or the Content.
• Any use of data mining, robots, or similar data gathering and extraction tools.

Neither the Content nor any portion of the Services may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without our express written consent.

Intellectual Property Rights

Except as otherwise expressly stated, all Content appearing on the Services is the copyrighted work of SecondLook Health or its third-party content providers and is protected by U.S. and international copyright laws.  

You may not alter, modify, copy, distribute, transmit, display, perform, reproduce, reuse, post, publish, license, download, store, create derivative works from, transfer, or sell any information or Content obtained from the Services without the prior written authorization of SecondLook Health or any applicable third-party suppliers.

Site Content

The Content on the Sites is provided for informational purposes only and does not constitute legal or medical advice.

Registration and User Accounts

Access to certain parts of the Sites and the use of the Services require registration. By registering, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Maintain the confidentiality of your username and password.

SecondLook Health reserves the right to take appropriate actions, including termination of access, for any violations.

Right to Monitor

SecondLook Health reserves the right to monitor use of the Services to ensure compliance with these Terms of Use and applicable laws.

Trademarks

Certain names, logos, and other materials displayed on the Sites may constitute trademarks, trade names, service marks, or logos (“Marks”) of SecondLook Health or its affiliates. You are not authorized to use any such Marks without the express written permission of SecondLook Health.

Link to Third-Party Hyperlinks and Websites

The Sites may contain hyperlinks to third-party websites (“Linked Sites”). SecondLook Health is not responsible for the content or practices of any Linked Site. Your use of Linked Sites is at your own risk.

Third-Party Interactions

Your interactions with entities or individuals found on or through the Services are solely between you and such entities or individuals. SecondLook Health is not responsible for any loss or damage incurred because of such dealings.

Modifications to the Sites

SecondLook Health reserves the right to modify or discontinue the Sites or Services, or any portion thereof, with or without notice.

Transactions

By making a Transaction, you agree to:

• Authorize SecondLook Health to charge the amount due.

SecondLook Health reserves the right to change pricing and to refuse any Transaction.

Payment

You agree to pay all fees due for services requested. Payments are processed via third-party payment processors. SecondLook Health is not responsible for any issues arising from payment processing.

No Purchase for Resale Allowed

Purchase of Services for resale is strictly prohibited. SecondLook Health reserves the right to take action against any unauthorized resale activities.

Promotions

Any promotions offered are subject to specific terms and conditions, which will govern in the event of any conflict with these Terms of Use.

Termination

SecondLook Health may terminate your use of the Services at any time for any reason without notice. Upon termination, you must cease all use of the Services and destroy any copies of materials obtained from the Sites.

General Legal Content

Governing Law; Arbitration; And Class Action/Jury Trial Waiver

• Governing Law: These Terms of Use shall be governed by the laws of the State of California, without regard to its conflict of laws principles.
• Arbitration: Any disputes arising out of or relating to these Terms of Use shall be resolved through binding arbitration in San Mateo County, California, in accordance with the rules of the American Arbitration Association.
• Class Action/Jury Trial Waiver: You agree to waive any right to a jury trial or to participate in a class action.

Choice of Language

These Terms of Use and related documents have been drawn up in the English language.

Severability of Provisions; No Waiver; And Assignment

If any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in effect.

Disclaimer of Warranties

The Sites and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. SecondLook Health disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, SecondLook Health shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Sites or Services.

Indemnification

You agree to indemnify and hold harmless SecondLook Health and its affiliates from any claims, liabilities, damages, losses, or expenses arising out of or in any way connected with your access to or use of the Sites or Services.

No Waiver

No waiver by SecondLook Health of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition.

No Agency Relationship

These Terms of Use do not create any agency, partnership, joint venture, or employment relationship between you and SecondLook Health.

Remedies

You agree that any violation of these Terms of Use may cause irreparable harm to SecondLook Health for which monetary damages may be inadequate, and SecondLook Health shall be entitled to seek injunctive relief.

Assignment

You may not assign any rights or obligations under these Terms of Use without the prior written consent of SecondLook Health.

Any notices to you from SecondLook Health regarding the Services or these Terms of Use will be made by email, posting on the Sites, or regular mail.

Electronic Communications

By using the Sites, you consent to receive electronic communications from SecondLook Health.

Entire Agreement

These Terms of Use, along with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and SecondLook Health.

Severability of Provisions

All parts of these Terms of Use apply to the maximum extent permitted by law. If any provision is held to be invalid, the remaining provisions shall remain in full force and effect.
